As we were the first to share<\/a>, Caesars Entertainment shareholders have voted to approve Tilman Fertitta\u2019s acquisition of the casino giant, according to sources familiar with the vote.<\/p>\n

The vote happened Sept. 22, 2026, at a special meeting of Caesars shareholders at in Reno. The result is expected to be announced officially Wednesday morning.<\/p>\n

The deal still has some serious hoops to jump through, but shareholder approval is, as our fellow youths say, a BFD.<\/p>\n

It\u2019s a really big deal.<\/figcaption><\/figure>\n

The transaction remains subject to Federal Trade Commission review blah blah and gaming approvals blah blah in the many jurisdictions where Caesars operates, but it\u2019s happening.<\/p>\n

The deal is expected to close in the first half of 2027 according to our well-placed sources.<\/p>\n

The deal was announced May 28, 2026, after months of speculation about Fertitta\u2019s interest in Caesars.<\/p>\n

Unless the sale goes sideways, Caesars shareholders will receive $31 in cash for each share they own. The transaction is valued at about $17.6 billion, including Fertitta’s assumption of about $11.9 billion in Caesars debt.<\/p>\n

There are a metric ass-ton of questions about what Fertitta’s ownership will mean for Caesars casinos in Las Vegas.<\/p>\n

Caesars operates Caesars Palace, Paris, Horseshoe, Flamingo, Harrah\u2019s, Planet Hollywood and The Linq.<\/p>\n

Private ownership gives Fertitta much more freedom to make longer-term decisions without having to explain quarterly financial results to Wall Street.<\/p>\n

It could mean changes in capital spending, restaurants, entertainment, staffing, marketing and how Caesars approaches its sizable collection of Strip resorts.<\/p>\n

It could also mean selling some things off. The debt isn\u2019t going to pay itself.<\/p>\n

When the deal was announced, Caesars said CEO Tom Reeg, CFO Bret Yunker and President\/COO Anthony Carano were expected to stay with the company after the acquisition.<\/p>\n

The shareholder vote doesn\u2019t mean Fertitta owns Caesars today. Regulatory approvals are still needed, and the FTC\u2019s sign-off isn\u2019t a rubber stamp by any means. (Fertitta has friends in high places.)<\/p>\n

But shareholders have given the thumbs up. You know, the gesture Romans did to spare the lives of defeated gladiators. Ah, the circularity of the universe. This isn\u2019t our first rodeo.<\/p>\n

Assuming regulators give the sale a thumbs up as well, one of the biggest casino acquisitions in Las Vegas history is expected to be consummated in the first half of 2027.<\/p>\n
